Resolution Adopting Special Election Procedure

The Bord of Directors adopted a procedure to hold a special election to fill a vacancy on the Board of Directors. 

 

WHEREAS the President of the National Association of Criminal Defense Lawyers (NACDL) will have declared one vacancies on the Board of Directors; and

WHEREAS the Board will fill this vacancy via special election at its 2023 Midwinter Board Meeting; and

WHEREAS pursuant to NACDL’s bylaws, at the time of the special election the vacancies will have been announced publicly and applications will have been sought for the vacant position(s); and

WHEREAS the vacant terms on the Board of Directors will last until the 2025 Annual Meeting; and

WHEREAS the Board anticipates that multiple timely applications will be submitted; and

WHEREAS Article VI, Section 6(b) of NACDL’s bylaws provides that the elections rules and procedures for a special election be adopted by the Board preceding the election; therefore

BE IT RESOLVED that the following procedures shall govern the special election to be held at the 2023 Midwinter Board Meeting:

Candidates for election to each vacant position will be nominated by the Nominating Committee;
The Nominating Committee shall recruit and nominate candidates with leadership potential who have demonstrated commitment to the Association and the profession, and in its efforts shall attempt to recruit candidates that add geographical, professional, minority, and gender diversity to the Association’s officers and Board of Directors;

The Nominating Committee shall only nominate candidates who are aware of, understand, and are reasonably likely to discharge the duties of the of an officer or director;

The Nominating Committee shall nominate no more candidates than there are vacancies;

Candidates not nominated by the Nominating Committee may subsequently seek election by direct application to the Board;

Upon consultation with the Elections Committee, NACDL’s Executive Director shall ensure that election deadlines and procedures are posted and circulated to give sufficient effect to this resolution; and
In any round of voting at the special election, if the number of candidates who receive a majority vote of the present members of the Board of Directors equals the number of unfilled positions, those candidates will have been elected.
